Amid unverified market rumors, the Saigon - Hanoi Commercial Joint Stock Bank (SHB) affirms that its business operations remain continuous, safe, and stable, with financial plans, corporate governance, and executive management implemented strictly in compliance with legal regulations.
The bank proactively strengthens its financial capacity, diversifies capital sources, and enhances governance quality, laying a foundation for its long-term development strategy while safeguarding the legitimate rights and interests of customers, shareholders, investors, and stakeholders.
With a clear strategic direction, SHB continues to proactively adapt to market developments, maintain operating safety indicators, and fully fulfill its information disclosure obligations as required by law.
Executing capital increase on schedule
SHB has executed charter capital increase plans approved by the General Meeting of Shareholders, ensuring full compliance with current legal procedures, conditions, and sequences, including relevant provisions under Circular No. 50/2025/TT-NHNN governing files and procedures for approving changes in commercial banks and foreign bank branches.
Accordingly, SHB’s plan to raise its charter capital to VND53.4 trillion ($2.1 billion) was approved by the State Bank of Vietnam (SBV) based on the plan passed by the General Meeting of Shareholders. Subsequently, SHB completed stock offering and issuance procedures as regulated and received official confirmation of the results from the State Securities Commission (SSC). These documents have been fully disclosed by SHB in accordance with legal regulations.
The newly-issued shares have been registered with the Vietnam Securities Depository and Clearing Corporation and credited to shareholders’ securities accounts.
Currently, SHB has submitted complete dossiers requesting the SBV to amend the charter capital level stated in its Establishment and Operating License pursuant to Circular No. 50/2025/TT-NHNN, and the SBV is reviewing the documents to record the new capital level. Immediately upon the SBV’s official recognition, SHB will promptly complete additional listing procedures and issue official disclosures regarding the trading commencement date for the new shares.
As of June 30, SHB’s book value per share (BVPS) reached VND16,360 ($0.65), significantly higher than its current market price. The gap between book value and market trading price serves as a reference point for investors evaluating SHB stock valuation, alongside financial strength, operational efficiency, and long-term growth potential.
SHB understands shareholder concern regarding post-offering procedures, particularly the timeframe from payment settlement to official trading. It is actively finalizing its responsible tasks while working closely with regulatory authorities to accelerate progress, ensuring legal compliance and shareholder interests.
Charter capital enhancement remains a key solution to bolster financial strength, increase equity capital, enhance safety ratio compliance, and expand room for credit growth, technology investments, digital transformation, and business expansion. Throughout implementation, SHB balances growth targets, capital efficiency, risk governance, and sustainable development requirements.
Expanding global financial partnerships
Parallel to capital capacity reinforcement, SHB actively expands cooperation with international financial institutions and diversifies medium and long-term fundraising channels, bolstering funding structure stability and preparing resources for sustainable strategies.
In October, SHB expects to launch plans for international bond issuances and syndicated loan mobilizations. Earlier, on September 18, the bank announced a Board of Directors resolution approving the international bond offering registration dossier and executing procedures with the SSC. On October 6, the SSC issued Official Letter No. 9903/UBCK/QLCB approving SHB’s international bond offering registration dossier.
Accessing global capital markets requires meeting strict requirements on legal documentation, financial transparency, risk management, and investor due diligence. Preparing and executing these transactions demonstrates SHB’s proactive integration, network expansion, and capacity to meet international financial market demands.
Through international capital channels, SHB aims to reinforce its medium and long-term funding structure, enhance resource flexibility, and support business development. Financing options are evaluated based on capital demands, market conditions, borrowing costs, and operational safety requirements, in full compliance with Vietnamese laws and transaction terms.
SHB continues issuing required disclosures on capital plans, ensuring operational transparency, proactive resource management, and safe, efficient, sustainable growth.
Maintaining strong safety ratios
SHB prioritizes maintaining a sound financial foundation, stable liquidity, and stringent risk management, ensuring adherence to SBV safety limits and ratios. Beyond meeting current thresholds, the bank proactively refines capital management, liquidity control, and risk monitoring toward international standards.
As of June 30, SHB’s consolidated capital adequacy ratio (CAR) reached 11.81 per cent, well above the 8 per cent minimum requirement. The liquidity reserve ratio reached 17.05 per cent against the 10 per cent minimum, while the loan-to-deposit ratio (LDR) stood at 80.6 per cent, comfortably below the 85 per cent ceiling. These metrics reflect the bank’s capital strength and liquidity control, creating a buffer for operations and payment obligations.
SHB discloses CAR metrics on its official website as required. On September 30, it published capital adequacy metrics for the period ending June 30, including qualitative and quantitative details on equity capital, risk-weighted assets, and CAR. Public disclosure allows shareholders, investors, and clients to access, track, and verify safety metrics.
Along with maintaining favorable safety ratios, SHB continuously perfects internal governance, data quality, technology infrastructure, and risk measurement tools, preparing for upcoming regulatory requirements.
SHB maintains that growth must align with safety, efficiency, and governance quality to ensure continuous, stable operations and long-term sustainability.
Ensuring transparency and stakeholder rights
SHB confirms that banking operations remain normal, continuous, and stable. Capital mobilization, credit extension, domestic and international payments, and general banking services continue as planned.
“SHB sincerely appreciates the trust and partnership of our valued shareholders and understands their interest in our operations and capital increase plans,” said CEO Ngo Thu Ha. “SHB commits to maintaining transparent disclosures, complying fully with legal regulations, ensuring safe and stable operations, and striving to generate sustainable value for shareholders and clients.”
The bank advises clients, shareholders, and investors to remain cautious regarding unverified information or speculative commentary from unconfirmed sources. Stakeholders are encouraged to verify information through official SHB disclosures, State regulatory agencies, and trusted news outlets.
SHB upholds transparency and responsibility in information disclosure, committing to accurate and timely updates in compliance with law to safeguard the legitimate rights of all partners and stakeholders.
